KMRC Announces Board Changes Following Chairman’s Retirement

Kenya Mortgage Refinance Company PLC (KMRC) has announced changes to its Board of Directors, including the retirement of Board Chairman Dr. Haron Sirima, the resignation of Independent Non-Executive Director Susan Maira, and the appointment of Bernadette Mutuku as an Independent Non-Executive Director, subject to regulatory approval.

In a notice to shareholders, stakeholders and the public, KMRC said Dr. Haron Sirima, OGW, EBS, retired as a Non-Executive Director representing the National Treasury with effect from June 24, 2026.

Dr. Sirima joined the board on July 10, 2019, and served as chairman throughout his tenure. The company credited him with providing strong leadership and strategic direction that significantly contributed to KMRC’s growth and success.

“The Board extends its sincere appreciation to Dr. Sirima for his distinguished service, commitment, and leadership, and wishes him success in his future endeavours,” the company said.

KMRC also announced the resignation of Independent Non-Executive Director Susan Maira, effective May 28, 2026.

Mrs. Maira was appointed to the board on October 8, 2019, and served as a member of the Audit Committee. She also previously chaired the Credit and Risk Committee, where the company said she played a key role in strengthening KMRC’s governance and risk oversight framework.

The board thanked her for her dedication, professionalism and valuable contribution during her time at the company.

Meanwhile, KMRC appointed Bernadette Mutuku as an Independent Non-Executive Director with effect from June 2, 2026, subject to regulatory approval.

Mutuku is the immediate former Chief Finance Officer of Centum Real Estate Limited, a subsidiary of Centum Investment Company Plc. She brings more than 30 years of experience in finance, corporate strategy, governance, risk management and business transformation.

She holds a Bachelor of Science degree in Mathematics from Kenyatta University, is a Certified Public Accountant of Kenya (CPA-K), and has completed executive leadership and management programmes at Strathmore University and IESE Business School in Spain.

The board welcomed her appointment and said it looks forward to her contribution to the company.

KMRC, which is regulated by the Central Bank of Kenya, provides long-term funding to primary mortgage lenders to increase the availability and affordability of home loans in Kenya.
